1. Agreement to These Terms

These Terms of Service ("Terms") govern access to and use of the SquadCollect platform (the "Platform"). By registering as a Club or using the Platform, you agree to be bound by these Terms.

2. Our Services

We provide a cloud-based club automation and payment management platform designed for sports clubs and teams. The Platform enables Clubs to request, manage, and track payments from their members, manage expenses, and administer club financial activity.

We provide software only. We do not provide banking, payment, escrow, money transmission, or regulated financial services.

3. Payment Processing

All payment transactions are processed by third-party payment providers, including Stripe ("Payment Processor").

  • We do not hold, receive, or control member funds.
  • We do not store payment card details.
  • The Club must maintain its own Stripe account.
  • The Club's relationship with Stripe is governed solely by Stripe's terms.

The Club is solely responsible for refunds, chargebacks, disputes, and compliance with applicable laws relating to the collection of payments.

We are not liable for Stripe account suspension, payment failures, reversals, or disputes initiated by members.

4. Club Responsibilities

The Club is responsible for:

  • Ensuring payment requests are accurate and lawful.
  • Managing its administrators and account access.
  • Complying with tax and regulatory obligations.
  • Handling member disputes and refunds.

5. Relationship with Members

Members make payments to the Club, not to us. We act solely as a technology provider facilitating the Club's payment collection.

We are not a party to any agreement between a Club and its members. Any disputes must be managed by the club and the member.

6. Fees

The Club agrees to pay all applicable subscription or transaction fees as set out at the time of registration. Fees may be updated with reasonable notice.

6.1 Stripe Fees

Payment processing services are provided by Stripe. Stripe charges payment processing fees in accordance with its own pricing structure and terms. These fees are determined solely by Stripe and may be updated by Stripe from time to time. Please review these fees with Stripe.

The Club is responsible for all Stripe fees associated with transactions processed through its Stripe account.

6.2 Platform Fee

In addition to any fees charged by Stripe, SquadCollect charges a standard platform transaction fee of 1% of the gross transaction value processed through the Platform, unless otherwise agreed.

The Platform Fee may be deducted automatically via Stripe Connect, depending on the agreed billing arrangement.

All fees are exclusive of VAT or other applicable taxes, which shall be added where required by law.

6.3 Fee Changes

We reserve the right to modify our Platform Fees with reasonable notice. Continued use of the Platform following such notice constitutes acceptance of the updated fees.

7. Data Protection

The Club acts as Data Controller for member personal data. We act as Data Processor when processing personal data on behalf of the Club.

Each party agrees to comply with applicable UK data protection laws.

8. Suspension and Termination

We may suspend or terminate access to the Platform if:

  • The Club breaches these Terms;
  • Fraud or unlawful activity is suspected;
  • Stripe suspends the Club's account.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Our total liability shall not exceed the total fees paid by the Club in the 12 months preceding the claim.
  • We are not liable for indirect, consequential, or incidental losses.
  • We are not liable for payment processor failures or member disputes.

10. No Partnership or Agency

Nothing in these Terms creates a partnership, joint venture, agency, or fiduciary relationship between us and any Club.

11. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
